JJ Automation
Terms of Service
General terms for JJ Automation services
Effective September 6, 20261. Agreement to These Terms
These Terms of Service ("Terms") govern access to and use of services provided by JJ Automation ("JJ Automation," "we," "us," or "our"). By purchasing, accessing, or using our services, or by accepting a proposal, order form, invoice, or service agreement that references these Terms, you ("Client," "you," or "your") agree to be bound by them.
If a signed proposal, statement of work, order form, or other written agreement conflicts with these Terms, the more specific written agreement controls for the conflicting provision.
2. Services
JJ Automation may provide technology, marketing-support, and business-operations services, including website or landing-page services, CRM setup or administration, workflow automation, lead capture, forms, calendars, reputation or review-request systems, email and SMS automation, integrations, reporting, hosting-related services, consulting, and other services described in a proposal or service agreement.
Features, integrations, and service availability may change over time. We may add, modify, discontinue, or replace features when reasonably necessary, including when a third-party provider changes or discontinues its services.
3. Client Responsibilities
You are responsible for the accuracy, legality, and rights associated with information, content, contact lists, instructions, offers, claims, images, trademarks, and other materials you provide or direct us to use. You are also responsible for maintaining appropriate permissions, licenses, consents, notices, and records required for your business activities.
- Provide timely access, approvals, credentials, content, and information reasonably needed to perform the services.
- Review deliverables and notify us promptly of material errors or requested corrections.
- Use the services only for lawful business purposes and in accordance with applicable platform rules.
- Maintain secure control over usernames, passwords, API keys, and account access provided to you.
- Comply with laws and regulations applicable to your industry, customers, advertising, and communications.
4. Messaging, Email, and Marketing Compliance
If the services involve SMS, phone, email, or other marketing communications, you remain responsible for determining whether you have the consent or other legal basis required to contact each recipient and for the content and timing of your communications. You must honor opt-out, unsubscribe, and do-not-contact requests and must not use the services for unlawful spam, deceptive marketing, harassment, or prohibited outreach.
You agree to comply with applicable communications and marketing laws, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, state laws, and carrier or platform requirements, to the extent they apply. JJ Automation does not provide legal advice or guarantee that any campaign, contact list, script, workflow, or configuration satisfies every law applicable to your business.
5. Third-Party Platforms and Services
Our services may depend on third-party products and platforms such as CRM providers, telecommunications carriers, email providers, payment processors, domain registrars, hosting providers, analytics services, advertising platforms, and integration tools. Those third parties may have their own terms, fees, limits, verification requirements, outages, or policies.
We are not responsible for a third party suspending an account, rejecting a registration, changing a feature, increasing a fee, experiencing an outage, or otherwise affecting the services. Where possible, we will use commercially reasonable efforts to help identify or work around third-party issues within the scope of your service plan.
6. Fees, Billing, and Taxes
Fees are stated in the applicable proposal, order form, invoice, checkout page, or service agreement. Unless otherwise stated, recurring services are billed in advance and automatically renew for successive billing periods until canceled. You authorize us and our payment processor to charge the payment method on file for amounts due.
Setup, implementation, migration, customization, and other one-time fees are generally earned as work is performed and are non-refundable once the corresponding work has begun, except where required by law or expressly stated otherwise in writing. Recurring fees already paid are generally non-refundable for a partially used billing period unless the applicable agreement says otherwise.
You are responsible for applicable taxes, government charges, messaging usage, phone numbers, email usage, domain costs, third-party subscriptions, advertising spend, and other pass-through charges when identified as your responsibility.
7. Late or Failed Payments
If a payment fails or becomes overdue, we may retry the payment method, request an updated payment method, pause work, restrict access, or suspend services after reasonable notice. You remain responsible for amounts incurred before suspension or termination.
8. Cancellation and Termination
Unless a separate agreement states a minimum commitment or different notice period, you may cancel recurring services before the next renewal date by providing notice through the contact method shown on our website, client portal, invoice, or service agreement. Cancellation stops future renewals but does not automatically refund fees already paid or amounts already earned.
We may suspend or terminate services for nonpayment, unlawful use, security risk, abuse, material breach, third-party platform restrictions, or conduct that could reasonably harm our systems, reputation, clients, or partners. When practical, we will provide notice and an opportunity to cure a non-urgent breach.
9. Client Data and Accounts
As between you and JJ Automation, you retain ownership of your customer records, lead data, business content, and other data you provide to us, subject to the rights needed for us and our service providers to process that data to deliver, secure, support, and improve the services.
Account ownership and transferability may depend on the third-party platform and the applicable service arrangement. If a service ends, we may provide reasonable assistance with exporting or transferring Client data when technically available. Additional migration work may be billable. You should maintain copies of important business records and content.
10. Intellectual Property
JJ Automation retains ownership of its pre-existing materials, templates, processes, automation logic, reusable components, know-how, methods, documentation, and tools. Unless otherwise stated in writing, after full payment you receive a non-exclusive right to use deliverables created specifically for your business for their intended business purpose.
Third-party software, themes, fonts, stock assets, plugins, and other licensed materials remain subject to their own licenses. Nothing in these Terms transfers ownership of third-party intellectual property.
11. Confidentiality
Each party may receive non-public business, technical, customer, pricing, or operational information from the other. Each party agrees to use reasonable care to protect confidential information and to use it only for purposes related to the services, except where disclosure is authorized, required by law, or necessary to service providers bound by appropriate obligations.
12. Security
We use reasonable administrative, technical, and organizational safeguards appropriate to the services we provide. No system is completely secure, and we do not guarantee that unauthorized access, service interruption, data loss, or other security incidents will never occur. You are responsible for using strong credentials, limiting account access, and promptly notifying us of suspected compromise affecting accounts we manage.
13. Acceptable Use
You may not use the services to violate law; infringe intellectual property; impersonate others; distribute malware; attempt unauthorized access; send unlawful or abusive communications; collect data unlawfully; interfere with systems; facilitate fraud; or engage in conduct prohibited by an applicable carrier, payment processor, hosting provider, CRM platform, or other service provider.
14. No Guaranteed Results
Business, marketing, sales, review, lead-generation, response-rate, ranking, conversion, revenue, and operational outcomes depend on many factors outside our control. Unless expressly stated in a signed written guarantee, JJ Automation does not guarantee any particular number of leads, sales, reviews, appointments, rankings, response rates, revenue, savings, or other business result.
15. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. We do not warrant uninterrupted operation, error-free performance, or compatibility with every third-party service.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, JJ AUTOMATION WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOST BUSINESS OPPORTUNITY, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICES, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, JJ AUTOMATION'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO JJ AUTOMATION FOR THE AFFECTED SERVICES DURING THE THREE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so some of these limitations may not apply to you.
17. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless JJ Automation and its owners, personnel, and service providers from third-party claims, damages, penalties, losses, and reasonable expenses arising from your content, contact lists, marketing activities, instructions, unlawful use of the services, violation of applicable law, or infringement of another party's rights, except to the extent caused by JJ Automation's own unlawful conduct or gross negligence.
18. Force Majeure
Neither party is responsible for delay or failure caused by events beyond its reasonable control, including internet or telecommunications failures, utility outages, natural disasters, government actions, labor disruptions, cyberattacks, platform outages, carrier filtering, or failures of third-party infrastructure.
19. Governing Law and Disputes
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles, except where applicable law requires otherwise. Before filing a formal claim, the parties agree to make a good-faith effort to resolve the dispute informally. Unless a separate written agreement provides otherwise, any court proceeding shall be brought in a state or federal court with jurisdiction over the county in Florida where JJ Automation maintains its principal place of business, subject to applicable law.
20. Changes to These Terms
We may update these Terms from time to time to reflect changes in our services, business practices, technology, or legal requirements. Updated Terms become effective when posted or otherwise provided with a new effective date, unless a different effective date is stated. Material changes will apply prospectively to the extent required by law or contract.
21. General Terms
If any provision is found unenforceable, the remaining provisions remain in effect and the unenforceable provision will be limited to the minimum extent necessary. A failure to enforce a provision is not a waiver. You may not assign an agreement for services without our consent if the assignment would materially increase our obligations or risk. We may use contractors and service providers to perform portions of the services. Headings are for convenience only.
22. Contact
Questions, notices, and cancellation requests may be submitted using the contact information published by JJ Automation on its website, client portal, invoice, proposal, or service agreement. Principal business location: St. Petersburg, Florida.
